Payment: A non-refundable deposit of 25% of the total project fee is required before work begins. The remaining balance is due upon completion of the project, unless otherwise agreed upon in writing.
License and Ownership: All intellectual property rights, including copyrights, in any original work created by the contractor during the course of the project, shall be owned by the contractor. Upon full payment, the client will be granted a non-exclusive license to use the final deliverables for their intended purpose outlined in the project scope.
Promotional Use: The contractor reserves the right to use any work created for promotional purposes, including but not limited to, showcasing in portfolios, case studies, social media, and promotional materials. However, the contractor agrees not to disclose any confidential information or sensitive materials without the client's prior written consent.
Revisions: The client is entitled to a reasonable number of revisions within the scope of the project as outlined in the initial agreement. Additional revisions may incur extra charges.
Termination: Either party may terminate the agreement if the other party breaches any material obligation and fails to remedy the breach within 30 days of written notice. In such cases, the client will be responsible for payment for any work completed up to the date of termination.
Confidentiality: Both parties agree to keep confidential any proprietary or confidential information disclosed during the course of the project.
Governing Law: This agreement shall be governed by and construed in accordance with the laws of California, and any disputes arising out of or in connection with this agreement shall be resolved through arbitration in accordance with the rules of the American Arbitration Association.
By engaging the services of the contractor, the client agrees to be bound by these terms and conditions. These terms may be updated or modified at any time by the contractor, with reasonable notice provided to the client.
